This End User License Agreement (the "Agreement") is concluded between ARTISMEDIA Sp. z o.o. (the "Licensor") and the organization or person that installs or uses the Application on its Bitrix24 account (the "Licensee").

By installing or using the Application you accept this Agreement. If you do not agree, do not install or use the Application. If you accept on behalf of an organization, you confirm that you are authorised to bind it.

1. Definitions

1.1. Application — the Pay24 software provided as a cloud service for recording partial payments of CRM deals and invoices of a Bitrix24 account, calculating what is paid and still due, importing bank statements and matching incoming payments with invoices and deals, and creating Statements of account, including updates and documentation.

1.2. Bitrix24 account — the Licensee's cloud Bitrix24 workspace or on-premise Bitrix24 installation on which the Application is installed.

1.3. Marketplace — the Bitrix24 Marketplace through which the Application is distributed.

1.4. Payment — a standard payment of a deal or invoice in the Licensee's Bitrix24 account, created or changed through the Application.

1.5. Bank statement — a file in CAMT.053, MT940 or CSV format exported from the Licensee's bank and uploaded into the Application by a user. Statement transaction — one incoming payment (credit entry) in a Bank statement.

1.5a. Statement of account — a summary of a client's invoices and deals with amounts invoiced, paid and due, created by the Application from the Payments in the Bitrix24 account.

1.6. Free plan — the plan under which the Application is installed and used free of charge, with the features and limits listed for it in Section 4.2.

1.7. Pro plan — the paid plan that removes the limits and adds the features marked "Pro" in Section 4.2, available during the Trial or under an active Subscription.

1.8. Trial — a one-time 14-day period of the Pro plan free of charge for a Bitrix24 account (Section 4.4).

1.9. Subscription — the Licensee's paid subscription to the Pro plan for one Bitrix24 account, billed monthly or yearly through Stripe (Section 4).

2. What the Application does

2.1. Payments tab. In deals and invoices the Application shows the amount, the Payments recorded, the balance due, days overdue and the payment status, and lets users record, confirm, edit and delete Payments, including partial payments. After every change it writes "Paid", "Balance due", "Last payment date", "Days overdue" and "Payment status" to deal fields (for an invoice — to its deal) and runs the automation triggers "invoice fully paid", "partial payment received" and "overpayment" when the status changes.

2.2. Bank statement import. The Application reads a Bank statement uploaded by a user, takes only incoming payments and compares them with the open invoices and deals of the Bitrix24 account by the invoice or document number in the payment details (including numbers of documents created by Pay24 and other document generators), the amount (full or partial), the client's VAT ID / NIP, IBAN and name. Each match gets a confidence level. Depending on the plan and settings (Section 4.2), confident matches are recorded as Payments automatically; other transactions are shown to the user with "Match" and "Skip" buttons. A Statement transaction that has already been recorded is never recorded a second time. Payments in a currency different from the currency of the invoice or deal are never recorded automatically.

2.3. Statement of account for the client of a deal or invoice, printable and as a PDF attached to the deal timeline; workflow robot "Pay24: recalculate balance" that returns the paid amount, balance and status.

2.4. The Application writes to the Bitrix24 account only Payments, the deal fields and triggers listed in Section 2.1, Statement of account PDFs requested by users, and the user interface elements needed to start it (a tab in deal and invoice cards, a workflow robot) and the uninstall notification subscription. Payments and deal fields remain in the Bitrix24 account after the Application is uninstalled.

2.5. Bank statements are read on the Licensor's servers in memory and are not stored there. Details are set out in the Privacy Policy.

2.6. The specific set of features is determined by the current version of the Application and its description in the Marketplace. Which features are available in the Free plan and which only in the Pro plan is set out in Section 4.2.

3. License grant

3.1. The Licensor grants the Licensee a non-exclusive, non-transferable, worldwide, revocable license to use the Application on the Licensee's Bitrix24 account for its internal business purposes for as long as the Application is installed. Features of the Pro plan are available only during the Trial or while a Subscription is active (Section 4).

3.2. The number of Bitrix24 users who may use the Application is not limited by the Licensor; it is determined by the Licensee's Bitrix24 plan.

3.3. The Licensee may use Statements of account created by the Application without restriction, including sending them to its clients.

3.4. All intellectual property rights in the Application remain with the Licensor. The Licensee's data, Payments and Bank statements remain the Licensee's. No rights are granted except those expressly stated.

4. Plans, subscription and payment

4.1. Plans. The Application is free to install. It is offered in two plans: the Free plan, free of charge and without time limit, and the paid Pro plan. The plan applies to the whole Bitrix24 account: one Subscription covers one Bitrix24 account (identified by its installation ID, member_id) and all its users; the price does not depend on the number of users.

4.2. Features by plan:

FeatureFreePro
Payments tab, manual partial payments, balance due, days overdue, deal fields and triggersyes, unlimitedyes, unlimited
Statement transactions imported per calendar month per Bitrix24 account30unlimited
Matching of Statement transactions with invoices and dealsmanual (the user picks the invoice or deal)automatic suggestions with confidence level
Automatic recording of confident matchesnoyes (can be switched off)
Statement of account (print and PDF)noyes
Workflow robot "Pay24: recalculate balance"noyes
Duplicate protection and currency checkyesyes

The monthly counter covers incoming Statement transactions read from uploaded Bank statements; uploading the same statement again in the same month does not count the same transactions twice, and transactions already recorded are not counted. The counter is reset on the first day of each calendar month (UTC) and is not reset by reinstalling the Application.

4.3. Prices. The price of the Pro plan per Bitrix24 account is €19 per month or €190 per year, exclusive of VAT; it is also shown in the Application and in the Marketplace listing. The price that applies to the Licensee is the price shown in the Application and on the Stripe payment page when the Subscription is started.

4.4. Trial. The Trial starts automatically when the Application is first installed or first opened on a Bitrix24 account and lasts 14 days. No payment card is required. The Trial is granted once per Bitrix24 account: reinstalling the Application does not start it again. When the Trial ends without a Subscription, the account moves to the Free plan automatically and nothing is charged. If the Licensee starts a Subscription during the Trial, the remaining Trial days are kept and the first charge is made when the Trial ends.

4.5. Who may subscribe. Only a Bitrix24 administrator of the Licensee can start, change or cancel a Subscription, from inside the Application. Other users see a message asking them to contact their Bitrix24 administrator. The administrator confirms that they are authorised to make the purchase on behalf of the Licensee.

4.6. Payment. The Licensor collects payments directly; payments are not made through the Marketplace. Payment is made on the Stripe Checkout page, which opens in a separate browser tab, and is processed by Stripe Payments Europe, Limited (Ireland) as payment processor. The Licensor never receives or stores payment card data. Stripe's own terms apply to the payment.

4.7. Billing and renewal. The Subscription is billed in advance for each billing period (one month or one year) and renews automatically for the same period until it is cancelled. The payment method on file is charged at the start of each period.

4.8. Cancellation. The Licensee may cancel the Subscription at any time through "Manage subscription" in the Application (Stripe Customer Portal) or by e-mail to artismediaeu@gmail.com. Cancellation takes effect at the end of the current paid period; the Pro plan remains available until then, and no further charges are made.

4.9. Failed payment. If a renewal payment fails, the Pro plan remains available until the end of the paid period plus a grace period of 7 days, during which the Licensee can update the payment method in the Customer Portal. If payment is still not received, the account moves to the Free plan.

4.10. Uninstalling does not cancel the Subscription. Uninstalling the Application does not cancel the Subscription automatically. The Licensee must cancel it in the Customer Portal before uninstalling, or by e-mail to artismediaeu@gmail.com, in which case the Licensor cancels it on request.

4.11. Price changes. The Licensor may change prices with at least 30 days' notice to the Bitrix24 administrator of the Licensee (in the Application or by e-mail). A new price applies from the next renewal after the notice period; the Licensee may cancel before that renewal.

4.12. VAT and invoices. Prices exclude VAT. VAT is calculated by Stripe Tax on the basis of the billing address and VAT ID provided at checkout: for business customers in the EU outside Poland with a valid VAT ID, no VAT is charged and the reverse-charge mechanism applies; for customers in Poland, 23% Polish VAT is charged; for consumers in the EU, the VAT of their country of residence is charged; for customers outside the EU, VAT or other taxes are applied according to the applicable rules. Invoices and receipts for the Subscription are issued through Stripe and are available in the Customer Portal.

4.13. Refunds are governed by the Pay24 Refund and Cancellation Policy (https://pay-eu.ai-automation-agency.biz/legal/refund), which forms part of this Agreement. Mandatory rights of consumers under applicable law are not affected.

4.14. Returning to the Free plan. When the Pro plan ends (after the Trial, cancellation or failed payment), the limits of the Free plan apply again. Payments already recorded and Statement of account PDFs remain in the Bitrix24 account. Automatic matching and recording stop; new Statement transactions count against the monthly limit. Robots configured by the Licensee stop recalculating and write a note to the workflow log.

5. Payments, bank statements and matching

5.1. Payments are records, not money transfers. The Application records in Bitrix24 that money has been received; it does not initiate, receive or process payments between the Licensee and its clients and does not connect to the Licensee's bank. Bank statements are exported by the Licensee from its own bank and uploaded by its users.

5.2. Matching is a suggestion. Automatic matching is based on the data in the Bank statement and in the Licensee's CRM (invoice numbers, amounts, VAT IDs, IBANs and names) and may be wrong, for example when a client pays several invoices with one transfer or writes another client's invoice number. The Licensee decides whether confident matches are recorded automatically and at which confidence level, and is responsible for checking recorded Payments. Every Payment recorded by the Application can be edited or deleted on the Payments tab.

5.3. Currencies. The Application does not convert currencies. A Statement transaction in a currency different from the currency of the invoice or deal is recorded only after the user's confirmation, with the amount as stated in the Bank statement.

5.4. Not an accounting register. Payments, balances and Statements of account reflect the Payments recorded in Bitrix24. They do not replace the Licensee's accounting books, bank reconciliation in its accounting system or any tax documents.

5.5. Bitrix24 payment rules. Payments are created through the standard payment functions of Bitrix24 and are subject to their rules and to the permissions of the user (for example, a user without access to payments in CRM cannot record them).

6. Restrictions

The Licensee shall not: (a) copy, modify, decompile or reverse engineer the Application except as permitted by mandatory law; (b) resell, sublicense or provide the Application to third parties as a service; (c) circumvent security, access controls or plan limits; (d) use the Application to create fraudulent or misleading documents, or otherwise to violate the law or the rights of others; (e) interfere with the Application's operation or overload it.

7. Licensee's responsibilities

7.1. The Licensee is responsible for the data entered into its Bitrix24 account and into the Application, and for having a lawful basis to process the personal data it contains, including informing its clients and employees as required by the GDPR.

7.2. The Licensee is responsible for the access rights it grants to its users in Bitrix24: any user who can open a deal or invoice and the Payments tab can record Payments for it within their Bitrix24 permissions, and any user who can open the Application can upload Bank statements. Settings of automatic recording and the subscription can be changed only by a Bitrix24 administrator.

7.3. The Licensee confirms that it is entitled to upload its Bank statements into the Application and to have the personal data of payers contained in them processed for matching payments.

8. On-premise Bitrix24

The Application works with an on-premise Bitrix24 if the account and the Licensor's servers can reach each other over HTTPS (REST API and application pages). The Licensor is not responsible for network, certificate or firewall settings of an on-premise installation.

9. Personal data

Personal data is processed in accordance with the Pay24 Privacy Policy (https://pay-eu.ai-automation-agency.biz/legal/privacy). Its Section 11 (Data Processing Terms under Article 28 GDPR) forms an integral part of this Agreement.

10. Availability, support and updates

10.1. The Licensor makes reasonable efforts to keep the Application available but does not guarantee uninterrupted or error-free operation. Maintenance may cause short interruptions.

10.2. Support is provided by e-mail at artismediaeu@gmail.com and through the contact form at https://pay-eu.ai-automation-agency.biz/about, Monday–Friday, 9:00–18:00 CET, in English, Polish or Russian. We aim to respond within two business days. Support covers questions about the Application's features, help with bank statement formats that the Application does not recognise, and diagnosing and fixing errors of the Application. It does not cover setting up or repairing the Licensee's Bitrix24, accounting, legal or tax advice.

10.3. Updates, including support for new bank statement formats, are installed by the Licensor automatically and at no extra charge. This Agreement applies to all updates.

10.4. The Application depends on Bitrix24 and its REST API; changes, limits or outages of Bitrix24 are outside the Licensor's control.

11. Warranty disclaimer

11.1. To the maximum extent permitted by law, the Application is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11.2. Matches, balances and Statements of account are calculated from the Bank statements uploaded by the Licensee and the data in its CRM; their accuracy depends on that data. The Application does not replace accounting, tax or legal advice, and the Licensor is not responsible for decisions taken on the basis of recorded Payments, such as reminders, collections or shipment of goods.

12. Limitation of liability

12.1. To the maximum extent permitted by law, the Licensor shall not be liable for indirect or consequential damages, lost profits, lost data or business interruption.

12.2. The Licensor's total liability under this Agreement is limited to EUR 100 or the amount paid by the Licensee for the Subscription in the preceding 12 months, whichever is greater.

12.3. Nothing in this Agreement limits liability for damage caused intentionally, or any liability that cannot be limited under applicable law, including the rights of consumers.

13. Term and termination

13.1. This Agreement is effective from installation until the Application is uninstalled.

13.2. The Licensee may terminate at any time by uninstalling the Application. Uninstalling does not cancel a Subscription (Section 4.10): a Subscription that has not been cancelled continues to renew, and after reinstallation on the same Bitrix24 account it applies again.

13.3. The Licensor may suspend or terminate access for material breach of this Agreement, or discontinue the Application with at least 30 days' notice; in that case any Subscription is cancelled and no further payments are charged.

13.4. Upon uninstall, data is deleted as described in the Privacy Policy, except billing records, the record that the Trial has been used and the monthly Statement transaction counter, which are kept as described there. Payments, deal fields and Statement of account PDFs remain in the Bitrix24 account.

14. Changes

The Licensor may update this Agreement. The current version is published at https://pay-eu.ai-automation-agency.biz/legal/license. Material changes take effect no earlier than 30 days after publication; continued use after that date means acceptance. Changes to this Agreement do not by themselves make features of the Free plan payable and do not change the price of an active Subscription; prices change only under Section 4.11.

15. Governing law and disputes

15.1. This Agreement is governed by the laws of the Republic of Poland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

15.2. Disputes shall be resolved by the common court competent for the Licensor's registered office in Warsaw, unless mandatory law provides otherwise (in particular for consumers).

16. Miscellaneous

16.1. If any provision is held invalid, the remaining provisions remain in force.

16.2. This Agreement, together with the Privacy Policy and the Refund and Cancellation Policy, constitutes the entire agreement regarding the Application.

16.3. In case of discrepancies between language versions, the English version prevails.
